Terms of Service

Effective Date: January 1, 2023

These Terms of Service ("Terms") govern your use of the website design & development, digital marketing, and software services provided by Rumeira ("Company," "we," "us," or "our"). By subscribing to our services, you ("Client") agree to these Terms.

Services Provided

We provide retainer-based digital marketing and development services, including:

Website Design & Development
Google Ads & Facebook Ads Management
Keyword Research & Backlink Building
Content Strategy & Copywriting
On-page & Technical SEO
Software Development & CRM Migrations

Adjustments: Company reserves the right to adjust sub-tasks and methods of each deliverable in the best interest of your business. We may sub-contract or assign our rights under this contract without prior consent, though we remain responsible for the quality of work provided by any subcontractors.

Client Responsibilities

To ensure project success, the Client agrees to:

Provide necessary information, access, passwords, and assistance (Google Business Profile, Hosting, Ads accounts, etc.) within a reasonable timeframe.
Nominate a representative to act as the primary point of contact.
Maintain all necessary permissions and legal rights for content or data submitted to us.
Accuracy: Assume full responsibility for the accuracy and legality of any information or content provided to Company.

Payment & Billing

Retainers: All services are provided on a retainer basis and must be paid in advance.
Automation: Payments are automatically charged to the credit card on file via Stripe.
Renewal: Subscriptions automatically renew until canceled by the Client.
Finality: All payments are final. No refunds will be issued under any circumstances. Please refer to our Refund Policy for further details.
Non-Payment: If a payment fails, all services—including website hosting, SEO efforts, and ad management—will be suspended immediately until the account is settled.

Ownership & Intellectual Property

Provisional Ownership: All intellectual property rights (design, code, SEO strategies) remain the property of Company until payment for the respective billing period is received in full.
License: Upon full payment, Company grants the Client a non-exclusive, perpetual license to use the completed deliverables.
Termination Reversion: In the event of non-payment or cancellation, ownership of any new content created during the subscription period reverts to Company.

Performance Disclaimer

No Guarantees: SEO and marketing results are subject to third-party algorithm updates (Google, Meta, etc.). We do not guarantee specific rankings, traffic volumes, or ROI.
Third-Party Actions: We are not liable for ranking fluctuations or exclusions from search results caused by third-party search engine policies.

Liability Limitation & Indemnification

Indemnity: Client agrees to indemnify and hold harmless Rumeira, its employees, and contractors from any claims, damages, or legal fees arising from a breach of this contract or the Client's business operations.
Limitation: Company’s total liability for any claim shall not exceed the amount paid by the Client for the specific service during the month the claim arose. We are not liable for lost profits, lost data, or consequential damages.
Business Results: Client accepts full responsibility for their business performance, customer satisfaction, and legal compliance.

Dispute Resolution & Governing Law

Jurisdiction: This Agreement is governed by the laws of the State of New York.
Arbitration: Any disputes shall be resolved through binding arbitration in New York via the American Arbitration Association (AAA). Both parties waive the right to a jury trial or public court proceeding.

Exclusive Credit Display

Portfolio Right: We reserve the right to display “WEBSITE DESIGN BY RUMEIRA” in the footer of any website we create or manage, with a backlink to https://www.rumeira.com.
Removal Fee: To remove this credit, a one-time fee of $5,000 applies.
Screenshots: Company reserves the right to use screenshots of completed work for our professional portfolio.

Termination

Notice: Either party may terminate with written notice.
Data Retrieval: Upon termination, Client has 60 days to request a copy of their website content. After 60 days, Company may delete the content from its systems.
Third-Party Costs: Client is responsible for any costs associated with transitioning services to a new provider.

Force Majeure

Neither party is liable for delays caused by events beyond their control, including power/internet failures, civil unrest, malicious code (viruses/hacking), or governmental actions.
